By engaging our property management services or using our website, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you should not use our services or website. These terms constitute a legally binding agreement between you and Cloudary S.L.

User Obligations

When using our services, you agree to:

• Comply with all applicable laws and regulations
• Pay all fees and charges as agreed in your service contract
• Maintain your property in good condition and provide necessary access
• Respond promptly to communications from Cloudary
• Not use our services for any illegal or unauthorised purposes
• Respect the intellectual property rights of Cloudary and third parties

Fees and Payment

Service fees are as specified in your individual service agreement with Cloudary. All fees are subject to applicable VAT and taxes. Payment terms and methods will be outlined in your service contract. Late payments may incur additional charges as specified in your agreement.

Intellectual Property

All content on our website and in our materials, including text, graphics, logos, images, software, and other materials, are the property of Cloudary S.L. or our licensors and are protected by Spanish and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without explicit written permission.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms of Service. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by Spanish law, Cloudary S.L. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services or website. Our total liability for any claim shall not exceed the amount of fees paid by you to Cloudary in the twelve months preceding the claim.

Force Majeure

Cloudary shall not be liable for any failure or delay in performing its obligations under these terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government regulations.

Indemnification

You agree to indemnify, defend, and hold harmless Cloudary S.L., its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of our services, violation of these terms, or infringement of any rights of third parties.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Palma de Mallorca, Balearic Islands, Spain.

Termination

Either party may terminate the service relationship in accordance with the terms specified in the individual service agreement. Cloudary reserves the right to suspend or terminate your access to our services immediately if you violate these Terms of Service. Upon termination, all rights and obligations shall cease except those that by their nature should survive termination.

Modifications to Terms

Cloudary reserves the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.

Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that comes closest to the intention of the original provision.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and Cloudary S.L. regarding the use of our services and supersede all prior agreements and understandings.
